ACT 1 - DEFINITIONS

«Original musical composition»: All entries submitted must be original songs and shall not infringe any copyrights or any other rights of any third parties. Entrant shall, by entering, indemnify and hold the organizing company harmless from and against any claims inconsistent with the foregoing.

«Records»: Any fixation of the execution of a work on an original support or medium with the aim of a reproduction (mechanics, acoustics, magnetic, digital, digital video) without any restriction.

«Musical videos»: audiovisual production and creation illustrating a phonographic, pre-existing or simultaneous music performance, which constitutes the essential element of the music performance and thus requires no change or adaptation of the sound part.

ACT 2 - ORGANIZING COMPANY

The Limited Company Div'Up, registered office 322 Airpoint - Skypark Road BRISTOL BS3 3NG UNITED KINGDOM, that has for valid identification number 08602533, hereinafter referred to as «organizing company», organizes within the context of a live performance due in June 2014, a free online competition named the «EuroMusic Contest» on the terms stipulated below.

ACT 3 - DURATION

The present terms and conditions are valid for a duration of 1 (one) year as of 1st March 2014.

ACT 4 - REGISTRATION

4.1 Registrations for this contest are opened from 10th March 2014 to 10th May 2014 (midnight) to every musician and/or amateur, solo singer or band made up of no more than 8 (eight) persons of 13 years or older, hereinafter referred to as "Entrant". If entrant is under 18 years old, the signature of a parent or guardian is required. At least one of the members of the groups must be a citizen of one of the 40 (forty) participating countries referred to in Act 7. The candidates may or may not be linked by a contract of production or a licence with a music label or a record company.

4.2 The finalists of the EuroMusic Contest 2014 edition will have to be available the 30th of June 2014, to perform on stage.

4.3 Registrations are opened to every musician and/or amateur, solo singer or band made up of no more than 8 (eight) persons, able to perform in live, thereby excluding any prerecorded musical support and/or medium.

4.4 Will be admitted the entrants in the following categories: self-produced artists; artists under contract; self-produced artists under distribution agreement; artists signed on local or associative structures, artists having an affiliation with a major label record company or having distribution through a major label or its affiliates, as well as entrants who are on independent labels, their own label, or no label.

4.5 Entrant may not enter any song that is owned, wholly or partly, by any publishing company.

4.6 If the entrant registers either under a false identity or with the identity of another person or communicates false informations or registers under several identities, the organizing company will cancel his registration.

4.7 The contest is open to every musicians able to perform in live, with no pre-recorded sound, the following genres of music: Pop/Top 40, Rock, AAA, Adult Contemporary (AC), Country, R&B/Hip-Hop, Blues, Folk, Jazz, World, Latin, Rap, Lyrics Only, Electro.

ACT 5 - PARTICIPATION

5.1 To participate in the competition, entrant will have to login to the EuroMusic Contest web page, hosted by the website http://euromusiccontest.com.

5.2 To participate in the competition, entrant will have to read and accept the present terms and the conditions in their entirety.

5.3 To participate in the competition, entrant will have to fill the questionnaire available on the site http://euromusiccontest.com, specifying his pseudonym and password, the titles of his two original compositions (audio, video clips or live performances), then validate and make sure that the following screen shows the confirmation of his participation.

ACT 6 - DESCRIPTION OF THE CONTEST

The contest will be organized by the organizing company, in partnership with MyBandMarket (France), iConcerts (Switzerland) and Jamendo (Luxembourg) on the terms stipulated below:

- March 10rd, 2014: registrations opening for Entrant on the dedicated website http://euromusiccontest.com.

- The opening of votes to the public shall be announced 15 days in advance by the organizing company. Entrant will be able to promote his application on social networks and on the dedicated website http://euromusiccontest.com.

- The names of the 40 (forty) pre-finalists will be announced by the organizing company within 72h after the closing of votes. 1(one) entrant per participating country referred to in Article 6, will be selected.

- The names of the 10 (ten) finalists shall be announced no later than 15 days after the names of the 40 (forty) pre-finalists have been announced. They will be selected by a jury consisting of high-profile music industry professionals including record label executives, producers, and artists, as well as media partners whose names will be announced by the organizing company no later than April 1st, 2014. The organizing company will post all results on its website and will notify entrants by email that results are posted. Entrant is responsible for providing up-to-date and correct email addresses to the organizing company. The organizing company is not responsible for entrant's non-receipt of any EuroMusic Contest emails for any reason, including but not limited to, server or email malfunctions. The organizing company will use its best efforts to announce the winners at the designated time, but will not be held liable for any unforeseen delays.

- A final live event will take place at Le Divan du Monde, in Paris, on June 30, 2014. It will be streamed live from the EuroMusic Contest homepage and broadcasted in 88 countries. During the EuroMusic Live the public can vote in real time on the live-streaming page for their favorite artists.

- The organizing company reserves the right to extend the entry deadline for special promotions and/or entry deadline periods. 

ACT 7 - TERRITORY

The territory covered by the present terms and conditions includes:

ACT 8 - LANGUAGES

Entrant is free to perform in any language his original musical compositions.

ACT 9 - TERMS RELATING TO MUSICAL VIDEOS AND AUDIO PUT ON LINE FOR THE COMPETITION

9.1 Entrant may submit at least 2 (two) original musical compositions, which have to be recorded for the audio and filmed for the video, in the support of his choice, on condition that it can be published on the website http://euromusiccontest.com.

9.2 No particular format or duration are imposed. It is entrant's responsibility to ensure that the submitted song(s) and videos are complete and playable.

9.3 The videos put on line must represent the musical performance of the entrants, with no specific background (no brand, logo, etc... should appear on the video, including, where necessary, brands of the musical instruments), nor readable licence plates or other personal data allowing an unauthorized identification.

9.4 The audio and video put on line by the entrant must abide by all applicable laws and regulations and will not infringe the rights of third parties or the sensibilities of the young, nor the respect of the human dignity, nor the privacy rights, nor the rights of privacy/publicity, or intellectual property rights of any person or entity. Will not be accepted any content liable to infringe upon public order and common decency or to incite discrimination or suicide; or messages whose content is insulting, defamatory, racist, xenophobic, revisionist, obscene, indecent, offensive, pornographic, harassing, invasive of a person's privacy, liable to incite racial hatred, menacing, inflammatory, in breach of confidence, or which may cause annoyance or inconvenience or otherwise be a breach of the law; or whose content may affect the private life of a third party, the freedom, dignity, honour and/or reputation of others. The organizing company reserves the right to remove the content put on line if those terms were not to be respected. 

9.5 Entrant will put on line 2 (two) audio original compositions and/or video clips compliant with the terms and conditions of use of the website http://euromusiccontest.com and whose content may not affect the image and dignity, honor and/or reputation of the organizing company.

ACT 10 - EXTRACTION AUTHORIZATION AND GUARANTEES

10.1 Entrant acknowledges that all songs entered (audio and video) will be visible by all the Internet users reaching the site http://euromusiccontest.com, being stipulated that the Internet users will not be authorized by the organizing company to download these audio and videos files. Entrant retains all ownership rights to all submitted songs.

10.2 Entrant authorizes the organizing company the reproduction and presentation of the songs (audio and video) submitted on the euromusiccontest.com website for the purpose of broadcast and free display of the content within the framework of the competition such as defined. Entrant accepts that the audio and video content put on line will be controlled by the organizing company that reserves the right to remove the said content for non-compliance with the present terms and conditions and/or with the general terms of use of the euromusiccontest.com website. Entrant accepts that the content put on line may be broadcasted by one of the contest media partners.

10.3 Entrant assigns the right of exploitation of the content put on line and the possible elements that compose it and/or are associated to it (name, photography, pseudonym, etc...) to the organizing company free of charge for the duration of the contest.

10.4 This assignment of the right of exploitation aims in a non-exhaustive way, the right to reproduce, to represent and to adapt the original musical composition, wholly or partly, and the possible elements that compose it and/or are associated to it (name, photography, pseudonym, etc...) for non-commercial use only and on any medium to serve the promotion of the EuroMusic Contest.

10.5 This assignment of the right of exploitation aims the right to broadcast, publish and export wholly or partly of the content put on line by the entrant (audio and video) and the possible elements that compose it and/or are associated to it, on a third medium or website, including one of the media partners websites.

10.6 This assignment is made for the whole world without exclusion, starting from the first publication of the content on the euromusiccontest.com website, for the duration period referred to in Act 3.

10.7 All entries submitted must be original songs (audio and video) and shall not infringe any copyrights or any other rights of any third parties. Entrant shall, by entering, indemnify and hold the organizing company harmless from and against any claims inconsistent with the foregoing.

10.8 In case of infringement of rights of any third parties, the entrant shall assume all the consequences of this in full.

ACT 11 - SELECTION PROCESS OF THE FINALISTS

11.1 Internet users will vote on the euromusiccontest.com site for their favorite artist, being stipulated that each Internet user may vote only once per day and per artist during the period announced by the organizing company.

11.2 Every Internet users connected to Facebook will be able to vote with his Facebook username and password directly on the euromusiccontest.com website, by filing a connection form or by clicking on a connection pop-in available by clicking on the «Vote» button near the content reader on the artists pages hosted by the official euromusiccontest.com website. Every user shall wait for the message «Your vote has been registered» to appear.

11.3 Every Internet users who will falsify or try to falsify the selection process, either by using two Facebook accounts to connect to the euromusiccontest.com website or by using an automaton, will see his votes immediately cancelled.

11.4 The organizing company reserves the right to control the identity of Internet users if there is any doubt about their connection process. To do so only one vote per day, per artist and per IP address will be allowed.

11.5 The names of the 40 (forty) pre-finalists receiving the greatest number of votes in the 40 (forty) participating countries referred to in Act 7 will be announced by the organizing company within 72h after the closing of votes. 1 (one) artist per country will be selected.

11.6 The jury consisting of high-profile music industry professionals including record label executives, producers, and artists, as well as media partners, will select among the 40 (forty) pre-finalists the 10 (ten) finalists who will attend the final event.

11.7 The organizing company reserves the right to change the composition of the jury. The organizing company will post all results on its website and will notify entrants by email that results are posted. Entrant is responsible for providing up-to-date and correct email addresses to the organizing company.

11.8 The final event will take place at Le Divan du Monde, in Paris (France) and will be broadcasted and live-streamed in 140 countries. Each finalist will perform in live 2 (two) of his original musical compositions. During the live event the public can vote only once in real time by SMS-text.

ACT 12 - RIGHT OF ACCESS AND CORRECTION

In accordance with the law of National Commission on Data Processing and Liberties of January 6th, 1978 modified in 2004, entrant has the right of access and correction to the information which concerns him/her, that he can exert by addressing the organizing company referred to in Act 2. The data collected within the framework of the present contest is exclusively for the use of the organizing company and shall not be sold or given to third parties in any way. Persons exercising their right to remove data concerning them before the end of the contest will thereby waive their participation in it.

ACT 13 - ADVERTISING AND PROMOTION

With the purpose of promoting the EuroMusic Contest, for the duration period referred to in Act 3, it was determined that:

13.1 Entrant shall authorize the organizing company to make any public advertisements it will consider necessary to promote the EuroMusic Contest.

13.2 Within the framework of the promotion of the contest, the organizing company shall use, directly or indirectly, the name of the entrant, images, photographies representing him, exclusively to a promotional purpose, for the duration period referred to in Act 3. Entrant shall declare that he copyrights the images submitted and shall guarantee the organizing company against any claims of the photographer, the author or any third party.

13.3 Entrant shall not in any way depreciate the organizing company, on any basis whatsoever with the public, the media or social media.

13.4 None of the entrants will receive specific remuneration for his involvement in promoting campaign or operations, except for the one determined by the broadcasting media.

13.5 The organizing company reserves the right, if necessary, to hire an external advertising company, being stipulated that costs will be at the exclusive expense of the organizing company.

ACT 14 - CANCELLATION OF THE CONTEST - CHANGES OF TERMS

The organizing company reserves the right to cancel the contest and/or change the present terms and conditions should circumstances so require, at any time, without notice nor obligation to justify its decision and it cannot be held responsible for it.

ACT 15 - FILING OF THE RULES

15.1 By entering the EuroMusic Contest, entrant and/or their parents or legal guardian (if such entrant is a minor) agree to accept and be bound by the decisions of the organizing company and the jury which are final and binding in all matters. Entrant agrees to be bound by all terms of these official EuroMusic Contest Terms and Conditions as established herein.
15.2 Entrant authorizes the organizing company to verify his/her identity and coordinates and shall immediately upon demand by the organizing company, confirm his details. Any erroneous information will result in the elimination of the entrant.

ACT 16 - LITIGATION

Entrant shall be aware that any fraud or attempt of fraud will directly cause his elimination and may lead to civil and criminal proceedings. The organizing company shall decide sovereignly and irrevocably any dispute concerning the interpretation of the present terms and conditions.
